Approval procedures for Chinese-foreign joint ventures & Chinese-foreign cooperative enterprises

Conditions for filing an application

(1) Foreign companies, firms, other economic organizations or natural persons, and domestic enterprises and other economic organizations;

(2) Projects in the encouraged category and permitted category with a total investment of $ 30 million or less.

 

List of materials to submit

(1) Application report for establishing joint venture or cooperative enterprise (original).

(2) Project application report submitted to the Municipal Development and Reform Commission by the joint venture or cooperative enterprise, and the project approval document prepared by the Municipal Development and Reform Commission (original).

(3) Contract, articles of association and attachments signed by the legal representative (or authorized representative) of the joint venture or cooperative enterprise (original).

(4) Proof of qualification or certificate of legal representative identity of foreign investors (required to be certified by a notary public and authenticated by the Chinese embassy or consulate of the country where such foreign investors come from) (original).

(5) Power of Attorney in Respect of Service of Legal Document signed by the foreign investors (authorizer) and the legal documents recipient in the territory of China (the authorized) (original).

(6) Business license of the Chinese party (duplicate).

(7) List of members of board of directors, director appointment document (original) signed by the legal representative of each party, and the certificate of identity of directors (duplicate).

(8) Notice on the verification of the name of enterprise issued by the industry and commerce administration departments (duplicate).

(9) List of imported equipment signed by each party (including the equipment name, specification, model, quantity and place of origin).

(10) Certificate of corporate domicile (duplicate).

(11) Other documents required by the approving authorities: if the Chinese party invests state-owned assets (non-cash), then the state-owned asset evaluation report and the verification document issued by the state-owned asset administration department shall be provided (original).

All materials above shall be submitted in duplicate.

 

Application procedures

The applicant shall submit materials to county and municipal level competent commercial departments that have the right to approve the establishment of foreign-funded enterprises, or the provincial level (or above) development zones for approval. In normal cases, the application materials can be processed at the service window. The Municipal Commerce Bureau will approve the applicant which meets the requirements to establish a joint venture or cooperative enterprise. Details about the rejection will be given and a written notice will be served to the applicant that fails to meet the requirements.

 

Time limit for application  

It takes 5 days to fulfill the legal procedures for joint ventures and cooperative enterprises. Term promised by the approving authority: 5 working days; 20 working days if multiple departments are involved.
