Conditions for filing application

(1) Foreign companies, firms, other economic organizations or natural persons.

(2) Projects in the encouraged category and permitted category with a total investment of $ 30 million or less.

III. List of materials to submit

(1) Application report for establishing foreign-funded enterprises (original).

(2) Original of the form of applying for the establishment of foreign-funded enterprises (available at the Investment Procedure in www.ahinvest.gov.cn).

(3) Feasibility study report (original).

(4) Articles of association signed by the legal representative (or authorized representative) of the investor (original).

(5) Proof of qualification or certificate of identity of legal representative of foreign investors (required to be certified by a notary public and authenticated by  Chinese embassy or consulate of the country where such foreign investors come from) (original).

(6) Power of Attorney in Respect of Service of Legal Document signed by the foreign investors (authorizer) and the legal documents recipient in the territory of China (the authorized) (original).

(7) Land use certificate for the project, and the duplicated lease contract

(8) Notice on the verification of the name of enterprise issued by the industry and commerce administration departments (duplicate).

 (9) List of members of board of directors, director appointment document (original) signed by the legal representative of each investing party, and the certificate of identity of directors (duplicate).

(10) Consent from the county-level (or above) government of the county (or higher administration unit) where the foreign-funded enterprise is to be established (original)

(11) Certificate of corporate domicile (duplicate).

(12) Preliminary review comments of the environmental impact report issued by competent environmental protection departments (original).

(13) List of imported equipment signed by each party (including the equipment name, specification, model, quantity and place of origin).

(14) Other documents required by the approving authorities.

All materials above shall be submitted in duplicate.

Application Procedure

The applicant shall submit materials to county and municipal level competent commercial departments that have the right to approve the establishment of foreign-funded enterprises, or the provincial level (or above) development zones for approval. In normal cases, the application materials can be processed at the commercial affairs window of the Administrative Service Center. Applicants which meet the requirements will be approved to establish a joint venture or cooperative enterprise. Details about the rejection will be given and a written notice will be served to the applicant that fails to meet the requirements.

Time limit for application  

It takes 5 days to fulfill the legal procedures. Term promised by the approving authority: 20 working days if multiple departments are involved.
